Terms of Service

1. Introduction

Welcome to Wordflow AI ("we", "our", "us"). These Terms of Service ("Terms") set out the terms on which you may access and use our website, platform, products, and services (collectively, the "Services"). By using our Services, you agree to comply with and be legally bound by these Terms. If you do not agree, you must not use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years old (or the legal age of majority in your jurisdiction);
• Have the legal capacity to enter into a binding agreement; and
• Provide accurate and complete registration information.

3. Accounts

When registering for an account, you must provide accurate and current details. You are responsible for:

• Keeping your login credentials secure;
• All activities that occur under your account; and
• Informing us promptly of any unauthorised access or security issues.

Accounts may be created with an email address or via third-party authentication (such as Google).

4. Subscriptions and Payments

4.1 Free Plan

We provide a Free Plan with limited features, including:

• 5,000 monthly Flow credits (approximately 5 articles);
• AI models such as GPT-4.1 nano, Claude-3.5 Haiku, Gemini-3 Gemma, Deepseek R1 & others;
• Unlimited brand profiles;
• Custom Wordflows;
• Remix and TransCreate tools;
• Content Hub.

The following features are not included in the Free Plan: SEO Agent, GEO Analysis, Compliance AI, and workspace collaboration.

4.2 Paid Plans

We offer the following paid subscriptions (prices in USD):

• Lite – $29/month: 25,000 Flow credits, AI models (including GPT-4.5 and Claude-4), unlimited brand profiles, custom Wordflows, Remix and TransCreate tools, SEO Agent, and Content Hub. Excludes GEO Analysis, Compliance AI, and workspace collaboration. Includes a 5,000-credit trial.
• Pro – $59/month: 50,000 Flow credits, the latest AI models, unlimited brand profiles, custom Wordflows, Remix and TransCreate tools, SEO Agent, extended Content Hub, GEO Analysis, and Compliance AI. Excludes workspace collaboration. Includes a 5,000-credit trial.
• Enterprise – $99/month: 100,000 Flow credits, the latest AI models, unlimited brand profiles, custom Wordflows, Remix and TransCreate tools, SEO Agent, extended Content Hub, GEO Analysis, Compliance AI, workspace collaboration, and dedicated support. Includes a 5,000-credit trial.
• Custom Plans: Bespoke solutions, white-label implementations, and advanced API access are available on request.

4.3 Billing

• Annual billing is available for all plans at a 14% discount compared with monthly billing.
• Subscription fees are billed in advance and are non-refundable, except where required by law.
• Payments are securely processed via Stripe. By subscribing, you authorise Stripe to charge your selected payment method.

4.4 Promotions and Top-Ups

• The Free Plan is always available. From time to time, we may offer additional credits or promotional discounts. Details will be provided at sign-up. Unless otherwise specified, promotional offers are limited to one per customer and may not be combined.
• Users may also purchase top-up packages for additional credits without upgrading their plan.

4.5 Credit Usage and Rollover

• Unused trial credits roll over into a paid plan if you subscribe. These credits are valid for one month only and will be used before monthly credits.
• Flow credits follow a rollover policy: unused credits in one month roll over to the next month, valid only for that period. Rollover credits are used first. Any unused rollover credits expire at the end of that month. Monthly credits then reset, and any unused balance is rolled forward.

4.6 Cancellations, Upgrades, and Downgrades

• Subscriptions renew automatically unless cancelled before the renewal date.
• Cancellations take effect at the end of the current billing cycle; access remains until then.
• Upgrades, downgrades, and changes between monthly and annual billing take effect immediately. For upgrades, the price difference is charged immediately. Downgrades apply from the next billing cycle.

5. Acceptable Use

You must not:

• Use the Services for unlawful, fraudulent, harmful, or abusive purposes;
• Attempt to access restricted areas of the platform;
• Interfere with or disrupt the operation of the Services;
• Distribute malware, spam, or other harmful content;
• Generate prohibited content, including hate speech, adult material, political propaganda, or misleading information;
• Provide professional advice (e.g. medical, legal, financial) using the Services without appropriate authority and oversight; or
• Reverse engineer or misuse our AI models.

6. Intellectual Property

• All intellectual property rights in the Services (including software, design, text, and graphics) remain the property of Wordflow AI and its licensors.
• You retain ownership of content you create using the Services.
• By using the Services, you grant us a limited licence to host, display, and process your content solely for the purpose of delivering the Services.

7. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

8. Service Availability

• We aim to provide 99.99% uptime reliability but cannot guarantee uninterrupted service.
• Services may be suspended temporarily for maintenance, updates, or security reasons.

9. Beta Features and Experimental Tools

From time to time, we may provide beta features or experimental tools. These are supplied on an "as is" basis for evaluation only, with no guarantee of functionality, reliability, or continued availability.

10. Third-Party Integrations

Our Services may integrate with third-party applications. We are not responsible for the content, performance, or security of third-party services. Your use of such services is subject to their own terms and privacy policies.

11. User-Generated Content (UGC)

You are solely responsible for all content you create, upload, or share through the Services. While we do not actively monitor UGC, we may remove content that breaches these Terms or applicable law.

12. Feedback

By submitting feedback, suggestions, or ideas, you grant us a non-exclusive, royalty-free, perpetual licence to use them for any purpose, without obligation to you.

13. Account Suspension and Non-Payment

We may suspend or restrict your account if payments are overdue, declined, or suspected of fraud. Access will be restored once outstanding payments are settled. Accounts that remain unpaid for an extended period may be terminated.

14. Data Retention

If your account is terminated, we will retain your data for a limited period in line with industry standards (typically 30 days) to allow for export or recovery. After this, data will be permanently deleted unless required by law.

15. White-Label Services, Affiliates, and Distribution

Where white-label solutions, reseller arrangements, or affiliate distribution are provided:

• Partners must comply with these Terms and applicable laws;
• We are not liable for misrepresentations, misuse, or breaches by partners, affiliates, or distributors;
• Partners are responsible for end-user support unless agreed otherwise in writing; and
• Additional written terms applicable to white-label or affiliate agreements shall prevail in the event of conflict.

16. Termination

We may suspend or terminate your account if you:

• Breach these Terms; or
• Engage in conduct that harms us, other users, or third parties.

You may terminate your account at any time by contacting support@wordflow.ai.

17. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages; and
• Our total liability for claims relating to the Services will not exceed the amount you paid us in the 12 months prior to the claim.

18. Indemnity

You agree to indemnify and hold harmless Wordflow AI, its affiliates, officers, and employees against any claims, damages, or expenses arising from your use of the Services or breach of these Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of New South Wales, Australia. Disputes are subject to the exclusive jurisdiction of the courts of New South Wales. Before commencing litigation, both parties agree to attempt to resolve disputes in good faith through negotiation or mediation.

20. Consumer Rights

Nothing in these Terms is intended to exclude or limit rights available under mandatory consumer protection laws in your country of residence, including EU, UK, and US state consumer laws. In the event of conflict, such mandatory rights prevail.

21. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by email or via the platform. Continued use of the Services after changes are made constitutes acceptance of the updated Terms.
