1. Introduction
Welcome to the Wordflow Affiliate Programme. Please read these Terms and Conditions (“Terms”) carefully before joining. By applying to, or participating in, the Affiliate Programme, you agree to be bound by these Terms.
2. Eligibility & Application
To use our Services, you must:
- You must be at least 18 years old to participate.
- Applications must be submitted via our official signup form. Wordflow may request details of your promotional methods and reserves the right to approve or reject applications at its sole discretion.
- Affiliates must provide accurate and up-to-date account information (including legal name, email address, and payment details).
- Accounts are personal and cannot be sold, transferred, or shared without written consent from Wordflow.
3. Affiliate Account & Tracking
- Once approved, you will receive access to the partner hub (powered by Rewardful).
- You will be provided with a unique affiliate link and dashboard to track referrals, clicks, and commissions.
- Tracking is based on cookies and/or other tracking methods. Each referral link is valid for 30 days from the date of the initial click.
- Last-click attribution applies: if multiple affiliates refer the same user, the affiliate whose link was used last before the user signs up will receive the credit.
- Wordflow is not responsible for tracking failures caused by improper link usage, ad blockers, or technical limitations.
4. Commissions
- Standard commission is 30% recurring for six (6) months on every successful referral.
- A “successful referral” means a new customer who:
Clicks your affiliate link; - Upgrades to a paid plan within 30 days; and
- Remains active beyond the refund period.
- A “successful referral” means a new customer who:
- Commissions are calculated on the net subscription amount paid, excluding taxes, refunds, chargebacks, or discounts.
- If a customer upgrades, downgrades, cancels, or requests a refund, commission will be adjusted accordingly.
- Wordflow reserves the right to change commission rates or structures with at least 14 days’ notice to affiliates.
5. Payouts
- Payouts are processed monthly via Rewardful, once payments clear and refund windows close.
- A minimum payout threshold of $100 USD applies before commissions are released. Balances under the threshold will roll over.
- Payments are made in USD via Wise or PayPal. Affiliates are responsible for any transaction fees, currency conversion costs, or bank charges.
- Affiliates are solely responsible for reporting and paying applicable taxes (income tax, GST/VAT, etc.) in their jurisdiction. Wordflow does not provide tax advice.
6. Affiliate Responsibilities
Affiliates agree to promote Wordflow in an honest, ethical, and compliant manner. Prohibited activities include (but are not limited to):
- Making false or misleading claims about Wordflow.
- Using spam, unsolicited emails, bots, or black-hat SEO tactics.
- Referring yourself, your business, or anyone under your control (self-referrals).
- Offering unapproved discounts, coupons, or incentives.
- Creating websites, ads, or domains that impersonate Wordflow (including “official” branding).
- Bidding on “Wordflow” or related brand keywords in paid search ads without prior written approval.
- Promoting on websites or content that is illegal, defamatory, offensive, or harmful (e.g. adult content, hate speech, violence, piracy).
7. Disclosure & Compliance
- Affiliates must clearly disclose their affiliate relationship in all promotions.
- In Australia, this is required under the Australian Consumer Law (ACCC guidelines).
- Affiliates outside Australia must comply with their local regulations (e.g. FTC guidelines in the U.S., ASA in the UK, Competition Bureau in Canada, GDPR/APPs where applicable).
- Examples of acceptable disclosures:
- “I may earn a commission if you purchase through my link.”
- “This post contains affiliate links for Wordflow. I may earn a commission at no extra cost to you.”
- Non-compliance with disclosure requirements may result in the withholding of commissions or termination.
8. Intellectual Property & Brand Usage
- Affiliates may use Wordflow’s name, logo, and approved marketing materials as provided in the partner hub.
- Affiliates may not alter or misuse Wordflow’s branding.
- Use of Wordflow trademarks in domain names, ads, or social handles requires written approval.
- Wordflow reserves the right to revoke brand usage rights at any time.
9. Data Protection & Privacy
- Affiliates must comply with all applicable data privacy laws, including GDPR, CCPA, and Australian Privacy Principles (APPs).
- Affiliates may not collect, store, or misuse customer data obtained via Wordflow referrals.
10. Fraud Prevention & Audit Rights
- Wordflow reserves the right to monitor affiliate activity and review promotional practices.
- Affiliates may be asked to provide proof of compliance (e.g. where links are placed, screenshots of campaigns).
- Wordflow may withhold or reverse commissions if fraudulent, misleading, or abusive activity is suspected.
11. Termination & Inactivity
- Either party may terminate this agreement at any time, with or without cause, by providing written notice.
- Wordflow may suspend or terminate affiliates immediately for violations of these Terms.
- Unpaid commissions under the threshold at the time of termination will be forfeited.
- If an affiliate account remains inactive (with no referrals or activity) for 12 consecutive months, Wordflow reserves the right to close the account.
12. Disputes & Commission Reversal
- Commissions may be reversed for refunds, chargebacks, fraudulent activity, or customer cancellations.
- Affiliates must dispute any commission errors within 30 days of the transaction appearing in their dashboard.
- Wordflow’s determination of commission eligibility is final.
13. Indemnification
Affiliates agree to indemnify and hold harmless Wordflow, its officers, employees, and partners from any claims, damages, or liabilities arising from:
- Breach of these Terms;
- Violation of applicable laws; or
- Misuse of Wordflow branding or materials.
14. Limitation of Liability
- Wordflow will not be liable for indirect, incidental, or consequential damages related to the Affiliate Programme.
- Wordflow’s total liability to affiliates will not exceed the total commission paid or payable to the affiliate in the last 12 months.
15. Modification of Terms
- Wordflow reserves the right to update these Terms, commission structures, or programme features at any time.
- Significant changes will be communicated via email or the partner hub. Continued participation constitutes acceptance of updated Terms.
16. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.
- Disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
